I TITLE
A. The name of the association shall be called the “RED
MULE RUNNERS”, hereafter referred to as “this association”.
II OBJECTIVES
A. The objective of this association shall be the promotion and
encouragement of the sport of running and the education of the public
to its benefits.
B. In furtherance of objective “A”, this association
may hold, sponsor and promote competitive runs, fun runs, educational
activities, demonstrations, clinics, social events, or races on
roads, tracks, fields, or trails. This association may reprint articles,
newsletters, present awards, and/or any activity considered conducive
to the encouragement of running.
C. Additional objectives may include, but not limited to, engaging
in community or charitable activities and publicize the benefits
of running as a means of physical fitness.
D. Reference the existing association MISSION STATEMENT.
III AFFILIATION
A. This association shall be a chapter of the “Road Runners
Club of America” (RRCA), and all measures adopted by that
body must be considered by this association.
IV MEMBERSHIP
A. Individuals who wish to participate in the activities of this
association shall submit an application for membership along with
annual dues as determined by the association.
B. Memberships are categorized as Family, Individual, or Student.
A Student membership shall be considered as a high school student
currently enrolled full time in any accredited high school. Annual
dues for Family and Individual memberships are due every February
1st of each year. Student memberships, which approximately parallel
the school year, are due every September 1st.
C. In the event that dues for a Family, Individual, or Student
membership are delinquent, that membership will be placed on an
Inactive Roster for a period of one (1) year. Each membership will
be granted full rights of membership while on the Inactive Roster,
with the same one (1) year to make up dues that are in arrears.
If after the grace period as specified has expired, the membership
will be removed from the rolls. An accurate club membership count
is essential as yearly dues to the Road Runners Club of America
are based on club membership.
D. An Honorary Membership may be awarded to a group or individual
whose contributions to the association have proven worthy. Honorary
Membership dues will be waived by the association.
V MANAGEMENT OR GOVERNMENT
A. The management of this association shall be vested in a Board
of Directors consisting of a president, vice-president, secretary,
and treasurer. The election of officers are to be held at the first
scheduled meeting in February of each year.
B. Duties of officers:
1. President: to preside over meeting, represent this association
in the RRCA and before any other group, to call any special meetings,
and to appoint committees and chairperson thereof.
2. Vice-President: to assume the duties of the president in his/her
absence and to take on special assignments as requested by the president.
3. Secretary: to record minutes at meetings, to keep accurate records
and files of this association, and the coordination and correspondence
to members, including but not limited to, a monthly newsletter.
4. Treasurer: to administer all financial records, deposit assets,
and have the authority in the disbursement in necessary appropriations
and bills as directed by the president.
C. Eligibility: Officers may be elected to succeed themselves.
D. Term of Office:
1. Term of office shall be for one (1) year by elections as set
forth in Section V(A). Offices filled upon the resignation of a
previous officer shall serve the remainder of the term and is eligible
for re-election [ref. V(C)].
E. Elections: Officers shall be elected by a majority vote of those
present at the meeting.
F. Procedural Requirements:
1. Parliamentary procedure will be utilized at all meetings and
every effort will be made to discuss any measures to be presented
to this association.
2. A majority vote of the members present is necessary to pass
“ordinary” measures. All measures shall be deemed “ordinary”
except those proposing an amendment to the Bylaws in which a quorum
must be present. A quorum shall consist of twice the number of officers
plus one. This association designates that a quorum shall be nine
(9) members present.
3 . A Bylaws amendment may be accomplished by a two-thirds vote
of the members present. All members shall be notified at least seven
(7) days prior to the vote as to the nature of the proposed Bylaws
amendment.
4. Regularly scheduled meetings are held once a month on the first
Wednesday of the month and will start promptly at 7:00 PM.
VI FINANCES
A. Dues shall be determined at the first scheduled meeting in
December of each year by a majority of the members present. The
amount of dues can not revised for one (1) year.
B. This is to be a non-profit association. Monies received by the
association are to be distributed as set for by these Bylaws and
the association “Mission Statement”.
C. No part of the net earnings of this association shall benefit
any individual within this association.
D. This association shall be empowered to participate in fund raising
activities.
E. This association will submit their fare share dues to the RRCA
annually as membership in that body, as required.
VII DISSOLUTION
A. In the event of dissolution of this association, the funds
in the treasury, after all creditors have been paid, shall be forfeited
to the RRCA or other 501(c) (3) non-profit organization.
